Abstract

When it comes to the study of liquidation and extinction, the Capital Companies Act does not offer solutions in many cases. The current case law and doctrine of the DGSJyFP has highlighted the existence of a kind of latent legal personality. However, it does not address the limits to this personality, nor, consequently, its capacity. For this reason, in this paper we move from the capacity of the company in the liquidation phase to the subsequent situation of extinction.
