Abstract

The case decided on by the Supreme Court’s ruling of 15 June 2010 offers us an example of how the attitude of the seller of shares in a private limited company (i.e., failure to inform the buyer about the company’s accounting irregularities and its franchisor’s insolvency) can lead to contractual liability for the seller, making the buyer’s claim for redress for pain and suffering a good one in the court’s opinion. This issue must be analyzed correctly from the standpoint of objective charges, not as an issue of mere causality.
